These Terms of Service ("Terms") govern your access to and use of the website komarketing.co (the "Website") and the marketing services provided by KO Marketing Agency ("KO", "we", "us", or "our"). By using our Website or engaging our services, you ("you", "the client") agree to these Terms. If you do not agree, please do not use our Website or services.

2. Our services

KO provides marketing services which may include branding, audits, social media management, marketing strategy, content, photo and video production, UGC and creator content, paid advertising, website design and SEO, email marketing, consulting, and reporting.

The specific services, scope, deliverables, timeline, and fees for each engagement will be set out in a separate proposal, quote, statement of work, or agreement ("Service Agreement"). In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement will prevail.

3. Engaging our services

A binding engagement begins when you accept a proposal, sign a Service Agreement, or make a payment for our services. You agree to provide accurate information and any materials, access, approvals, and cooperation reasonably needed for us to deliver the services.

4. Client responsibilities

You are responsible for: providing timely feedback, approvals, and content; ensuring you own or have the rights to any materials you provide to us; the accuracy of information you supply; and ensuring your business and any claims made in your marketing comply with applicable laws. Delays caused by late feedback, missing materials, or lack of access may affect timelines and are not our responsibility.

5. Fees and payment

Fees, payment schedules, and billing terms are set out in your Service Agreement. Unless stated otherwise: invoices are payable within the period stated on the invoice; ongoing (retainer) services are billed in advance; and advertising budgets, software, and third-party costs are separate from our service fees and are your responsibility.

Late payments may result in suspension of services. All fees are exclusive of applicable taxes unless stated otherwise.

6. Third-party services and advertising spend

Our services may rely on third-party platforms (such as Meta, Google, TikTok, email tools, and hosting providers). You are responsible for any accounts, subscriptions, and advertising spend on these platforms unless expressly agreed otherwise. We are not responsible for the performance, policies, pricing, or availability of third-party platforms, or for account restrictions imposed by them.

7. Results and no guarantees

We bring skill, experience, and care to every engagement. However, marketing outcomes depend on many factors beyond our control (including your product, market, budget, and third-party platforms). Any figures, benchmarks, or examples we share are illustrative and are not guarantees. We do not warrant any specific results, reach, rankings, sales, or return on investment.

8. Intellectual property

Unless otherwise agreed in writing, upon full payment for the relevant work, you own the final deliverables we create specifically for you.

We retain ownership of our pre-existing materials, tools, templates, know-how, and any working files or drafts. We may showcase work we produce for you in our portfolio, case studies, and marketing materials unless you request otherwise in writing.

You grant us a licence to use your brand assets and materials solely to provide the services.

9. Confidentiality

Each party agrees to keep confidential any non-public information shared during the engagement and to use it only for the purpose of delivering or receiving the services. This obligation continues after the engagement ends.

10. Revisions and approvals

The number of revision rounds included is specified in your Service Agreement or package. Additional revisions or work outside the agreed scope may be subject to additional fees. Once you approve a deliverable or it is published, further changes may be treated as new work.

11. Termination

Either party may terminate an engagement as set out in the Service Agreement, or with reasonable written notice where no term is specified. On termination, you agree to pay for all services performed and costs incurred up to the termination date. Ongoing (retainer) fees already paid are generally non-refundable except as required by law or expressly agreed.

12. Limitation of liability

To the maximum extent permitted by law, KO will not be liable for any indirect, incidental, special, or consequential losses, including loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or in connection with an engagement will not exceed the total fees you paid to us for the specific services giving rise to the claim in the three (3) months preceding the event.

Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Warranties and disclaimer

Our services and Website are provided on an "as is" and "as available" basis. To the extent permitted by law, we disclaim all warranties not expressly stated in these Terms or a Service Agreement, including implied warranties of merchantability and fitness for a particular purpose.

14. Indemnity

You agree to indemnify and hold KO harmless from any claims, damages, or costs arising from your breach of these Terms, your use of the deliverables, or any content or materials you provide to us.

15. Changes to these Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our Website or services after changes take effect constitutes acceptance of the updated Terms.

16. Governing law

These Terms are governed by the laws of Thailand. Any dispute arising out of or in connection with these Terms will be subject to the jurisdiction of the courts of Thailand, unless otherwise agreed in a Service Agreement.
